Welcome to Global Infosis. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "you," or "your") and Global Infosis ("Company," "we," "our," or "us") governing your access to and use of our website located at www.globalinfosis.net and all related SEO services, products, and content provided by the Company.

IMPORTANT: By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of our website and services.

1Definitions and Interpretation

For the purposes of these Terms of Service, the following definitions shall apply:

  • "Services" means all SEO services, consulting, audits, optimization, link building, content creation, and any other services provided by Global Infosis as outlined in your service agreement or proposal.
  • "Website" refers to www.globalinfosis.net and all associated subdomains, pages, and content.
  • "Client Website" means any website owned or operated by the Client for which Services are to be performed.
  • "Deliverables" means all work product, reports, content, and materials created by the Company specifically for the Client.
  • "Service Agreement" means any proposal, contract, or statement of work that outlines the specific Services to be provided.
  • "Confidential Information" includes all non-public information disclosed by either party, including business strategies, customer data, pricing, and proprietary methodologies.
  • "Force Majeure" means circumstances beyond reasonable control including natural disasters, war, terrorism, government actions, or internet/infrastructure failures.

2Services Description

Global Infosis provides professional search engine optimization (SEO) services designed to improve your website's visibility in search engine results. Our Services may include, but are not limited to:

SEO Audits & Analysis

Comprehensive website analysis, technical audits, competitor research, and opportunity identification.

On-Page Optimization

Content optimization, meta tags, URL structure, internal linking, and site architecture improvements.

Off-Page SEO

Link building, digital PR, brand mentions, and authority building through ethical outreach.

Technical SEO

Site speed optimization, mobile usability, schema markup, crawlability, and Core Web Vitals.

The specific scope, deliverables, timeline, and pricing for Services will be detailed in your individual Service Agreement. Any services not explicitly included in your Service Agreement are outside the scope of engagement.

3Client Obligations and Responsibilities

To enable effective delivery of Services, you agree to:

  • Provide Access: Grant necessary access to your website, hosting platform, content management system, Google Analytics, Google Search Console, and other relevant tools within 5 business days of service commencement.
  • Supply Information: Provide accurate, complete, and timely information regarding your business, target audience, competitors, and goals.
  • Review and Approve: Review all content, recommendations, and deliverables within 5 business days of submission and provide clear feedback or approval.
  • Maintain Website: Ensure your website remains operational, accessible, and does not contain malware, spam, or illegal content.
  • Legal Compliance: Ensure your business and website comply with all applicable laws, regulations, and industry standards.
  • Communication: Respond to inquiries and requests within a reasonable timeframe and designate a primary point of contact.
  • No Conflicting Services: Inform us if you are working with other SEO providers or making SEO-related changes independently, as this may impact our work.

Note: Failure to fulfill these obligations may result in delays, reduced effectiveness of Services, or additional charges. We are not responsible for any negative outcomes resulting from your failure to comply with these responsibilities.

4Payment Terms and Conditions

4.1 Fees and Pricing

All fees for Services are specified in your Service Agreement. Unless otherwise stated, prices are in US Dollars (USD) and do not include applicable taxes. We reserve the right to adjust pricing with 30 days written notice.

4.2 Payment Schedule

  • Monthly retainer fees are due in advance on the first business day of each month.
  • Project-based fees require a 50% deposit before work commences, with the balance due upon completion.
  • Invoices are due within 15 days of the invoice date unless otherwise agreed.

4.3 Accepted Payment Methods

We accept payment via bank transfer, credit card (Visa, MasterCard, American Express), PayPal, and other methods as specified in your invoice.

4.4 Late Payments

  • Late payments are subject to a 1.5% monthly interest charge (18% annually) on outstanding balances.
  • Accounts more than 15 days overdue may result in suspension of Services.
  • Accounts more than 30 days overdue may result in termination of Services and referral to collections.
  • You are responsible for all collection costs, including reasonable attorney fees.

4.5 Refund Policy

Due to the nature of SEO services and the time and resources invested upon commencement, refunds are generally not provided. Specific refund terms, if any, will be outlined in your Service Agreement. Unused portions of prepaid services are non-refundable unless otherwise agreed in writing.

5Service Guarantees and Disclaimers

Important Disclaimer

SEO involves optimization for third-party search engines (Google, Bing, etc.) whose algorithms, policies, and ranking factors are proprietary, constantly evolving, and entirely outside our control.

5.1 No Ranking Guarantees

We DO NOT and CANNOT guarantee:

  • Specific search engine rankings or positions
  • Specific amounts of organic traffic or visitors
  • Specific conversion rates or revenue increases
  • Timeframes for achieving any particular results
  • Immunity from algorithm updates or ranking fluctuations

5.2 What We Do Guarantee

  • Professional Standards: All Services will be performed with reasonable skill, care, and diligence by qualified SEO professionals.
  • Ethical Practices: We exclusively use "white-hat" SEO techniques that comply with search engine guidelines. We do not engage in spam, link schemes, or deceptive practices.
  • Transparency: We provide honest reporting and clear communication about our work and results.
  • Best Efforts: We apply industry best practices and continuously adapt to algorithm changes.

5.3 Third-Party Dependencies

Our Services rely on third-party platforms including search engines, analytics tools, hosting providers, and content management systems. We are not responsible for changes, outages, or issues with these third-party services.

6Intellectual Property Rights

6.1 Client Content

You retain full ownership of all content, materials, trademarks, and intellectual property you provide to us. You grant us a non-exclusive, royalty-free license to use, modify, and publish this content solely for the purpose of performing Services.

6.2 Deliverables

Upon full payment of all fees, you will own the Deliverables created specifically for you, including:

  • Custom written content (blog posts, landing pages, meta descriptions)
  • Optimization recommendations and implementation
  • Custom graphics created for your website

6.3 Company Property

We retain ownership of:

  • Our proprietary tools, software, templates, and methodologies
  • General SEO strategies and frameworks (non-customized)
  • Training materials and educational content
  • Any pre-existing intellectual property

6.4 Portfolio Rights

Unless you opt out in writing, we may reference our work with you in our portfolio, case studies, and marketing materials, including displaying results achieved and your company name/logo.

7Confidentiality

Both parties agree to maintain strict confidentiality of all Confidential Information received from the other party. This includes but is not limited to:

  • Business strategies, plans, and financial information
  • Customer and user data
  • Technical processes and methodologies
  • Pricing and contractual terms
  • Analytics data and performance metrics

Confidential Information may only be disclosed to employees or contractors with a need to know, who are bound by similar confidentiality obligations. This obligation survives termination of Services for a period of three (3) years.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed; or (d) is required to be disclosed by law.

8Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

8.1 Cap on Liability

Our total aggregate liability for any and all claims arising from or related to these Terms or our Services shall not exceed the total fees paid by you to us in the six (6) months immediately preceding the claim.

8.2 Exclusion of Damages

We shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, or goodwill
  • Loss of data or cost of data recovery
  • Business interruption or downtime
  • Third-party claims against you

8.3 Specific Exclusions

We are not liable for:

  • Search engine algorithm changes or penalties not caused by our work
  • Pre-existing SEO issues or penalties on your website
  • Actions taken by you or third parties that impact SEO performance
  • Hosting, server, or technical issues beyond our control
  • Competitor actions or market changes
  • Delays caused by your failure to provide timely access, information, or approvals

9Indemnification

You agree to indemnify, defend, and hold harmless Global Infosis, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

  • Your breach of these Terms or any Service Agreement
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property rights
  • Content you provide that is defamatory, illegal, or harmful
  • Your negligence or willful misconduct
  • Any claims by your customers or users related to your website or business

10Term, Termination, and Suspension

10.1 Term

These Terms are effective upon your acceptance and continue until terminated. Individual Service Agreements specify their own terms, typically month-to-month unless otherwise agreed.

10.2 Termination by Client

You may terminate Services with 30 days written notice to infosisg@gmail.com. You remain responsible for payment of all fees for Services rendered through the termination date.

10.3 Termination by Company

We may terminate or suspend Services immediately if you:

  • Breach any material term of this Agreement
  • Fail to pay fees when due
  • Engage in illegal, unethical, or harmful activities
  • Become insolvent or file for bankruptcy
  • Are unresponsive for more than 30 days

10.4 Effect of Termination

  • All outstanding fees become immediately due and payable
  • Access to our tools and platforms will be revoked
  • We will provide reasonable transition assistance upon request
  • We will return any Client materials upon written request
  • Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination

11Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

11.2 Binding Arbitration

Any dispute not resolved through negotiation shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Florida, USA, unless otherwise agreed.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

12General Provisions

12.1 Entire Agreement

These Terms, together with your Service Agreement and our Privacy Policy, constitute the entire agreement between you and Global Infosis and supersede all prior agreements, representations, and understandings.

12.2 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of Services after changes constitutes acceptance.

12.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

12.4 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

12.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

12.6 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet/infrastructure failures.

12.7 Notices

All notices must be in writing and sent to the addresses specified in your Service Agreement. Notices are effective upon receipt.

12.8 Independent Contractors

The relationship between you and Global Infosis is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
